VP Corporate Governance (F/M) - Investment Management - LU873097
Our client is an international investment company in Luxembourg looking for a VP Corporate Governance (F/M) to assist in all matters linked to the company secretarial and governance and contribute to maintaining the highest standards in the corporate governance of the Company.
There is no team management for this role.
Responsibilities:
- Corporate secretarial oversight: Manage all corporate secretarial activities for the group’s entities, ensuring proper maintenance of statutory records, adherence to filing requirements, and compliance with regulatory standards.
- Meetings coordination: Organize Board and shareholder meetings, including the preparation of agendas and materials, documentation review, minute drafting, and follow-up on actions and decisions.
- Governance framework development: Support the creation and enhancement of internal governance frameworks, policies, and procedures to strengthen governance standards across the organization.
- Corporate transaction assistance: Collaborate with the legal and finance teams on corporate transactions, such as investments, divestments, and restructurings, ensuring they are aligned with governance protocols.
- Stakeholder engagement: Facilitate effective communication with Board members, auditors, and both internal and external stakeholders, promoting transparency and accountability.
- Project contribution: Participate in various group-level governance and compliance projects, adding value through active involvement and expertise.
Requirements:
- Master’s degree in Law, Business Administration, or a related field.
- Native-level proficiency in English.
- Approximately 10 years of experience in a similar role within an international context (e.g., management companies, PSFs, or large corporate groups).
- Strong understanding of Luxembourg company law and corporate governance principles.
- Excellent organizational and communication skills, with keen attention to detail and a high degree of confidentiality.
