Assistant Manager - Corporate Services
Tasks :
In‑depth knowledge of the legal framework and statutory provisions applicable to corporate secretarial and governance activities.
Oversight of a client portfolio, covering all aspects of the corporate administration of domiciled entities throughout their lifecycle.
Drafting and handling of legal documents related to routine corporate operations, including approval of annual financial statements, changes of registered office, and appointments or resignations of directors and managers.
Maintenance and regular updating of statutory records, such as shareholder registers and instruments relating to equity or convertible securities.
Review, follow‑up, and verification of corporate documents to ensure compliance with legal requirements, formalities, and signature rules.
Coordination and organisation of board of directors’ and shareholders’ meetings, including preparation of agendas, convening notices, minutes, proxies, and powers of attorney.
Acting as a liaison with external parties, including financial institutions, Luxembourg public authorities, notaries, and other relevant bodies.
Supervision of junior and senior corporate officers, including review of drafted documentation and monitoring of all related follow‑up actions to ensure proper execution.
Profile :
Successfully completed an academic qualification in law.
At least five years of relevant professional experience acquired within a Luxembourg trust company in a comparable role.
Full professional proficiency in English, with a working knowledge of French.
Highly organised and detail‑oriented, demonstrating strong communication and interpersonal abilities.
Proactive and energetic professional with a hands‑on and solution‑driven mindset.
