Waystone is seeking a highly motivated and talented Legal Advisor to join our vibrant team. This is a unique opportunity to work in an international environment, where you will provide expert legal guidance on a variety of fund and financial services matters, with a strong focus on Luxembourg.


As a Legal Advisor, you will report directly to the Luxembourg Head of Legal and play a key role in providing proactive, professional, and creative legal support. You will help shape the future of our business by offering specialist advice on legal matters related to investment funds, ensuring compliance with evolving regulations, and collaborating with various stakeholders.


 

ESSENTIAL DUTIES AND RESPONSIBILITIES




  • Provide legal support and advice during the set-up, onboarding and daily legal administration of all types of Luxembourg investment funds (UCITS and AIFs structures (SIF, UCI Part II, RAIF, SCS(p)) and covering all asset classes;
  • Draft and/or review agreements (management company/AIFM, portfolio management, central administration, depositary, domiciliation, corporate secretary, etc.);
  • Draft and/or review prospectuses/PPMs, LPAs/articles of incorporation, and any other legal documents;
  • Assist with fund projects for third party clients and coordinate the CSSF filings;
  • Draft and review legal documents in relation to liquidations, mergers, migrations and any other corporate events impacting Waystone or the funds;
  • Pro-actively engage with the business / stakeholders and contribute to regulatory projects;
  • Stay up to date with the regulatory developments and provide impact analysis to the business;
  • Perform regulatory research, monitoring and assess impact of new laws/regulations on the AIFM/management company, its delegated parties and/or the funds under management;
  • Provide high-quality legal advice to other teams and the senior management.



REQUIREMENTS

  • You hold a degree in Law (bachelor or master, BAC +3/5) or equivalent experience;
  • You have knowledge of the Luxembourg company law and the investment funds regulatory framework;
  • You have (preferably) at least 4 years of relevant work experience acquired in Luxembourg (either in a law firm or in-house);
  • You are motivated, rigorous, well organized and detail-oriented;
  • You can multitask and/or prioritize tasks for meeting deadlines;
  • You are reliable and driven to help and contribute to the team;
  • You are flexible, highly proactive and able to work independently;
  • You have excellent communication and interpersonal skills;
  • You are fluent in English (written and spoken); French and/or German would be an asset;
  • You are proficient in MS Office (Word, Excel, Outlook).
  • You can clearly articulate, commercially focused advice with high-quality written and verbal communication skills;
  • You can identify, focus, and prioritize key issues, and quickly adapt to changing circumstances.
